Terms of Service

These terms ("Terms") govern your use of the Rumi AI assistant ("Rumi", "Service") operated by SHL GROUP LLC, a New Jersey limited liability company ("we", "us", "Company"). By using Rumi, you agree to be bound by these Terms.

1. Eligibility

You must be at least 14 years old to use Rumi.

2. Your account

You access Rumi through a messaging channel (LINE, KakaoTalk, etc.). Your account is your channel identity within that messaging app. You are responsible for safeguarding access to that account.

3. What Rumi does (AI system disclosure)

Rumi is a conversational AI system. Underneath, Rumi uses third-party large language models — currently Anthropic's Claude family for response generation and OpenAI's text-embedding models for memory retrieval — to process your messages and generate replies. By using Rumi you acknowledge that you are interacting with an AI, not a human, and you consent to your messages being processed by these third parties for the purpose of generating Rumi's responses.

Rumi can answer questions, remember information you share, recommend places, search the web, and — only with your explicit per-action approval — send emails, add calendar events, set reminders, and run other connected tools. Rumi may make mistakes; treat its replies as starting points, not authoritative advice (especially for legal, medical, financial, or safety-critical matters).

4. Acceptable use

You agree not to use Rumi to:

• Break the law or facilitate illegal activity.
• Impersonate another person.
• Send spam, harass, or harm others.
• Defraud, deceive, or trick people through Rumi-generated content.
• Reverse-engineer or interfere with the service.
• Generate content that violates intellectual property, privacy, or other rights.

We may suspend or terminate access if you violate these rules.

5. Connected services

When you connect a third-party service (Gmail, Google Calendar, Google Drive, etc.), you grant Rumi the specific scopes you authorize. Rumi only takes write actions after you explicitly approve them within your conversation. You can revoke access at any time at myaccount.google.com/permissions.

6. Your content

You retain ownership of the content you send to Rumi. You grant us a limited license to store, process, and display it so Rumi can respond to you and remember you across conversations. We do not claim ownership of your messages.

7. AI-generated content

Rumi's replies are generated by large language models and may be incorrect. You are responsible for reviewing and acting on them. Do not rely on Rumi for legal, medical, financial, or safety-critical advice.

8. Pricing

Rumi is free during beta. We may introduce paid tiers in the future; existing free-tier capabilities will remain available at no cost in a meaningful way.

9. Termination

You can stop using Rumi at any time by removing it from your messaging app. We may terminate or suspend your access for violations of these Terms or to comply with legal obligations.

10. Disclaimers

Rumi is provided "as is" and "as available", without warranties of any kind, express or implied.

11. Limitation of liability

To the maximum extent permitted by law, neither we nor our subprocessors will be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost data, or loss of goodwill, arising from or related to your use of the Service, even if we have been advised of the possibility of such damages. Our total aggregate liability for any claim arising under or related to these Terms will not exceed the greater of (a) the amount you paid us for the Service in the 12 months preceding the claim or (b) USD $50. Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain damages; to the extent such law applies, the above limitations apply to the maximum extent permitted.

12. Indemnification

You agree to indemnify and hold harmless SHL GROUP LLC, its officers, employees, and agents from any third-party claim, loss, liability, or expense (including reasonable attorneys' fees) arising from (a) your breach of these Terms, (b) your misuse of the Service, (c) content you submit to Rumi that infringes a third party's rights, or (d) your violation of applicable law.

13. Force majeure

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, labor action, government action, embargoes, internet or third-party service outages (including outages of the AI providers we depend on), or pandemics.

14. Severability & entire agreement

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect. These Terms, together with the Privacy Policy, constitute the entire agreement between you and SHL GROUP LLC regarding the Service and supersede any prior agreements.

15. Changes

We may update these Terms. Material changes will be announced via the Rumi assistant before they take effect. Continued use of the Service after a change constitutes acceptance of the new Terms.

16. Governing law & dispute resolution

These Terms are governed by the laws of the State of New Jersey, USA, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Informal resolution first. Before filing any claim against us, you agree to attempt to resolve the dispute informally by emailing help@tryrumi.app with a clear description of the issue. We will do the same.

Venue. Any dispute not resolved informally within 60 days will be brought exclusively in the state or federal courts located in Hudson County, New Jersey, and you consent to personal jurisdiction there.

No class actions. To the extent permitted by applicable law, you and SHL GROUP LLC each waive any right to a jury trial and any right to participate in a class action, collective action, or representative proceeding. Claims may only be brought in an individual capacity.
